Global Atomic Corporation (“Global Atomic” or the “Company”)(TSX: GLO, OTCQX: GLATF, FRANKFURT: G12) is pleased to announce that due to significant demand, the Company and Red Cloud Securities Inc., as lead underwriter and sole bookrunner on behalf of a syndicate of underwriters (the “Underwriters”), have agreed to increase the size of the previously announced private placement (the “Offering”) from C$25.0 million to C$30.0 million. Under the revised Offering, the Underwriters have agreed to purchase for resale 7,500,000 units of the Company (the “Units”) at a price of C$4.00 per Unit (the “Offering Price”). Each Unit will be comprised of one common share of the Company (each, a “Unit Share”) and one half of one common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant shall be exercisable to acquire one common share of the Company (each, a “Warrant Share”) at a price of C$6.00 at any time on or before the date which is 18 months after the closing date of the Offering.
The Company has granted to the Underwriters an option, exercisable up to 48 hours prior to the closing date of the Offering, to purchase for resale up to 1,250,000 Units at the Offering Price to raise additional gross proceeds of up to C$5,000,000.
The net proceeds raised under the Offering will be used for exploration and development of the Company’s Dasa Uranium Project in the Republic of Niger and for general working capital purposes. The Offering is scheduled to close on or around December 7, 2021 and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the listing of the Unit Shares and Warrant Shares on the Toronto Stock Exchange. Resale of the Unit Shares and Warrant Shares will be subject to a hold period of four months and one day following the closing date of the Offering.
